N.R.E Newmark Real Estate Canada Limited (“Newmark” or the “Advisor”) has been retained by BDO Canada Limited and KSV Restructuring Inc. in their capacities as Court appointed Receivers (the “Vendors”) to be the exclusive Advisor for the potential disposition of Ravines Retirement Residence & Ravines Seniors Suites (respectively and collectively, the “Properties”).
Based on information contained in this CIM, the data room, and other information that may be made available by the Advisor and/or Vendors, interested parties are invited to submit an offer for one or both properties on the Vendors’ respective standard forms of Agreement of Purchase and Sale (the “Offer” or “APS”) during the bid submission window that will be communicated at least two weeks in advance of the deadline. Interested parties are advised to complete all of their due diligence prior to submitting an Offer. Offers will be evaluated, among other criteria, on the consideration offered for one or both of the Properties, the prospective purchaser’s ability
to complete the transaction, and the proposed conditions of closing.
Offers are to be delivered to the Advisor (Attn: BJ Bhal, Dave Kalinowsky, Mark Gallagher). Preference will be given to Offers that substantially comply with the Vendors form of APS and in particular those that limit or do not contain conditions. Following a review of the Offers, the Vendors, will in their discretion, select the Offer(s) that best meets the objectives of the receivership, and the APS will be conditional solely on the issuance of an Approval and Vesting Order by the Ontario Superior Court of Justice.
Prospective purchasers should note that the Vendors are under no obligation to select any Offer. The Vendors also reserve the right to remove the offering (or parts of the offering) from the market and to alter the process described above and timing thereof, at its sole discretion. As set out more fully in the CA and Offer form referred to herein, the Advisor and the Vendors are making no representations or warranties with respect to the information set out above or in the data room, and interested parties shall rely entirely upon their own inspection and investigation regarding the Properties.
